2. Services Provided
Indigo Canvas offers a comprehensive range of digital design and web development services. All services are provided subject to a separate service agreement or project proposal outlining specific deliverables, timelines, and costs. We reserve the right to modify or discontinue any service with or without notice at any time.
3. User Responsibilities
As a user or client of Indigo Canvas, you agree to:
- Provide accurate and complete information required for service delivery.
- Cooperate with our team throughout the project lifecycle.
- Ensure that any content or materials you provide do not infringe upon any third party's rights, including copyright, trademark, privacy, or other personal or proprietary rights.
- Comply with all applicable local, national, and international laws and regulations.
4. Intellectual Property
All content, designs, code, and materials developed by Indigo Canvas as part of our services remain our intellectual property until full payment for the services has been received. Upon full payment, intellectual property rights for the specific deliverables, as outlined in the service agreement, will be transferred to the client. Indigo Canvas retains the right to use completed projects in our portfolio and marketing materials.
5. Payment Terms
Payment terms will be specified in the individual service agreement or project proposal. Unless otherwise agreed, a percentage of the total project cost is required upfront, with subsequent payments made at agreed-upon milestones or upon project completion. Failure to adhere to payment schedules may result in project delays or suspension of services.
6. Disclaimer of Warranties
Our services are provided "as is" and "as available" without any warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. While we strive for excellence, Indigo Canvas does not warrant that the services will be uninterrupted, error-free, or completely secure.
7. Limitation of Liability
In no event shall Indigo Canvas, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service; (iii) any content obtained from the service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
8. Indemnification
You agree to defend, indemnify and hold harmless Indigo Canvas and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) content posted on the Service.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
